These Terms and Conditions govern your use of the PropNexa property management platform. By registering an account, you confirm that you have read, understood, and agree to be bound by these terms.

1. Acceptance of Terms

By registering an account and accessing the PropNexa platform, you agree to be bound by these Terms and Conditions. If you do not agree to any part of these terms, you must not register or use the platform. Your continued use of the platform constitutes ongoing acceptance of these terms.

2. Service Description

PropNexa is a cloud-based property management and accounting software platform designed for property management companies operating in the United Arab Emirates. The platform provides tools for tenant management, building and unit management, PDC cheque processing, rent invoicing, maintenance ticketing, double-entry accounting, voucher entry, financial reporting, contractor management, document management, and related property management services.

3. User Account & Registration

Upon registration, your company will be assigned a "User" role with full access to your own workplace. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to update such information to keep it current. Each registered company is entitled to full access to their own workspace and data.

4. Subscription & Fees

PropNexa may offer subscription plans with varying features and pricing. Subscription fees are billed in advance on a recurring basis (monthly or annually) depending on your selected plan. All fees are exclusive of Value Added Tax (VAT) as applicable under UAE Federal Tax Authority regulations. Payments are processed securely through our payment partners. Subscription renewals are automatic unless cancelled prior to the renewal date.

5. Acceptable Use

You agree to use the platform only for lawful purposes and in accordance with these Terms. You must not: (a) use the platform for any illegal or unauthorized purpose; (b) attempt to gain unauthorized access to any part of the platform, other accounts, or computer systems; (c) upload or transmit viruses, malware, or any other malicious code; (d) use the platform to store or process data that you do not have the legal right to store or process; (e) reverse engineer, decompile, or disassemble any part of the platform; or (f) resell or sublicense access to the platform without written consent.

6. Data Protection & Privacy

PropNexa is committed to protecting your data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. Your data is stored securely and is subject to Row-Level Security (RLS) ensuring that each company can only access its own data. We do not share, sell, or disclose your data to third parties except as required by law or as necessary to provide the service. You retain full ownership of all data entered into the platform.

7. Intellectual Property

All software, design, content, trademarks, and intellectual property associated with the PropNexa platform are owned by PropNexa. You may not copy, modify, distribute, or create derivative works from any part of the platform without prior written consent. Your company name, logo, and any content you upload remain your property.

8. Payment Processing

The platform may integrate with third-party payment processors (such as Stripe) for subscription billing. PropNexa does not store your credit card or payment instrument details — these are handled securely by the payment processor. By subscribing, you authorize the payment processor to charge the applicable fees to your designated payment method.

9. Service Availability

PropNexa strives to maintain 99.9% uptime but does not guarantee uninterrupted service. Scheduled maintenance, updates, and unforeseen technical issues may cause temporary service interruptions. We are not liable for any downtime, data loss, or business interruption resulting from service unavailability.

10. Limitation of Liability

PropNexa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the platform. Our total liability shall not exceed the total amount paid by you for the subscription in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold PropNexa harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

You may cancel your subscription at any time. Upon cancellation, your access will continue until the end of the current billing period. PropNexa reserves the right to suspend or terminate your account for violation of these Terms, non-payment, or any activity that we determine to be harmful to the platform or other users. Upon termination, you may export your data for a period of 30 days, after which it may be permanently deleted.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

14. Changes to Terms

PropNexa reserves the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
